1. Acceptance of Terms

By accessing, browsing, or using the website at devcraftingnow.com or by engaging the services of Devzone, registered under Reg. No. 73829164 and located at Národní 38, 110 00 Prague 1, Czech Republic, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services. These terms constitute a legally binding agreement between you (the "Client") and Devzone (the "Company"). We reserve the right to modify these terms at any time, and continued use of our services after such modifications constitutes acceptance of the updated terms.

2. Services Description

Devzone provides professional software development services, including but not limited to:

• Custom Software Development: Design, development, testing, and deployment of bespoke software applications tailored to your specific business requirements and technical specifications.
• Consulting Services: Technical consulting, architecture planning, technology stack evaluation, code audits, and strategic guidance for digital transformation initiatives.
• Maintenance and Support: Ongoing maintenance, bug fixes, performance optimization, security updates, and technical support for existing software applications.
• Web and Mobile Development: Development of responsive web applications, progressive web apps, and native or cross-platform mobile applications.

The specific scope, timeline, deliverables, and pricing for each engagement will be defined in a separate project agreement or statement of work signed by both parties.

3. Client Obligations

As a client of Devzone, you agree to the following obligations to ensure the successful delivery of our services:

• Accurate Information: You agree to provide accurate, complete, and up-to-date information necessary for the execution of your project, including business requirements, technical specifications, access credentials, and any relevant documentation.
• Timely Feedback: You agree to provide timely feedback, approvals, and decisions at each stage of the project. Delays in client feedback may result in corresponding delays to the project timeline and may incur additional costs.
• Cooperation: You agree to designate a primary point of contact and to cooperate with our team throughout the project lifecycle, including participating in scheduled meetings, reviews, and testing activities.
• Legal Compliance: You are responsible for ensuring that the content, data, and materials you provide to us do not infringe on any third-party intellectual property rights and comply with all applicable laws and regulations.

4. Intellectual Property

Upon full payment of all fees associated with a project or deliverable, the intellectual property rights for custom-developed work will be transferred to the Client as specified in the project agreement. This transfer applies only to the custom code and materials specifically created for the Client and does not extend to pre-existing frameworks, libraries, tools, or methodologies owned by Devzone or third parties.

Devzone retains the right to use general knowledge, skills, techniques, and experience gained during the project. Unless otherwise agreed in writing, Devzone reserves the right to reference the project in its portfolio and marketing materials without disclosing confidential information. Any open-source components used in the project will remain subject to their respective open-source licenses.

5. Payment Terms

Payment terms for our services are as follows:

• Invoicing: Invoices will be issued in accordance with the payment schedule outlined in the project agreement. Invoices are typically issued at the completion of each project milestone or on a monthly basis for ongoing engagements.
• Payment Schedule: Unless otherwise agreed, an initial deposit of 30% of the total project cost is required before work commences. Remaining payments are due upon completion of agreed milestones as outlined in the project agreement.
• Payment Methods: We accept payments via bank transfer and other methods specified in the invoice. All amounts are quoted and payable in the currency specified in the project agreement.
• Late Payments: Invoices are due within 14 days of issuance unless otherwise specified. Late payments will incur a penalty of 0.05% of the outstanding amount per day of delay. Devzone reserves the right to suspend work on the project until overdue payments are settled.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information exchanged during the course of the engagement. Confidential information includes, but is not limited to, business plans, technical specifications, source code, trade secrets, client data, financial information, and any materials marked as confidential. Neither party shall disclose confidential information to any third party without the prior written consent of the other party, except as required by law or regulation.

This confidentiality obligation survives the termination of the agreement and remains in effect for a period of three years following the completion or termination of the project. Upon request, each party agrees to return or destroy all confidential materials belonging to the other party.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Devzone's total liability for any claims arising out of or related to our services shall not exceed the total amount paid by the Client for the specific project or service giving rise to the claim. Devzone shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, or loss of business opportunities, even if Devzone has been advised of the possibility of such damages. This limitation of liability applies regardless of the legal theory on which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

8. Termination

Either party may terminate the agreement under the following conditions:

• Termination for Convenience: Either party may terminate the agreement by providing 30 days' written notice to the other party. In such cases, the Client will be responsible for payment of all work completed up to the effective date of termination.
• Termination for Cause: Either party may terminate the agreement immediately upon written notice if the other party commits a material breach of these terms and fails to remedy such breach within 15 days of receiving written notice of the breach.
• Effect of Termination: Upon termination, Devzone will deliver all completed work and work in progress to the Client, subject to full payment of outstanding invoices. Any provisions that by their nature should survive termination, including confidentiality, intellectual property, and limitation of liability, shall continue to apply.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law principles. Any disputes arising from or related to these terms or the services provided by Devzone shall be subject to the exclusive jurisdiction of the competent courts in Prague, Czech Republic. Both parties agree to submit to the personal jurisdiction of such courts and waive any objections to the exercise of jurisdiction by such courts.
